  • Advisory services and ongoing support

Specific service scope, deliverables, timelines, and pricing are defined in project-specific agreements or statements of work. Services are provided subject to availability and mutual agreement on terms.

4. User Responsibilities

6. Payment Terms

For services engagements:

  • Pricing is specified in project agreements and quoted in Malaysian Ringgit (RM)
  • Payment terms are typically 50% upon agreement execution and 50% upon completion, unless otherwise specified
  • Invoices are due within 30 days of issuance
  • Late payments may incur interest charges at the rate permitted by Malaysian law
  • We reserve the right to suspend services for non-payment

All fees are exclusive of applicable taxes, which are the client's responsibility.

7. Confidentiality

During service engagements, both parties may have access to confidential information. We agree to maintain confidentiality of client information and use it only for service delivery purposes. Confidentiality obligations survive termination of services.

Confidential information does not include information that:

  • Is publicly available through no fault of the receiving party
  • Was rightfully possessed before disclosure
  • Is independently developed without use of confidential information
  • Must be disclosed by law or court order

8.1 Service Disclaimer

Our services are provided on an "as is" basis. While we strive to deliver high-quality professional services, we do not guarantee specific results or outcomes from AI implementations. Success depends on numerous factors including client cooperation, data quality, and organizational factors beyond our control.

8.2 Website Disclaimer

Our website is provided for informational purposes. We make no warranties regarding accuracy, completeness, or reliability of content. We do not warrant that the website will be uninterrupted or error-free.

8.3 Professional Advice

General information on our website does not constitute professional advice for your specific situation. Formal recommendations are provided only through contracted service engagements.

9. Limitation of Liability

To the maximum extent permitted by Malaysian law, Cerebrix's total liability for any claims arising from services or website use shall not exceed the fees paid by the client for the specific service giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of the possibility of such damages.

This limitation applies to all claims, whether based in contract, tort, or any other legal theory.

10. Indemnification

You agree to indemnify and hold harmless Cerebrix, its employees, and contractors from any claims, losses, damages, or expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Termination

11.1 By Either Party

Either party may terminate a service engagement according to terms specified in the project agreement. Generally, termination requires written notice and payment for work completed to date.

11.2 Effect of Termination

Upon termination, you must cease using our services. Provisions regarding confidentiality, intellectual property, and limitations of liability survive termination.

11.3 Website Access

We reserve the right to suspend or terminate website access for violations of these terms without prior notice.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and Conditions are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
